Project Deliverables
Ownership of project deliverables will be defined in individual project agreements. Generally, upon full payment, clients receive ownership of custom code developed specifically for their project.
Payment Terms
Payment terms, including amounts, schedules, and methods, will be specified in individual project agreements. Unless otherwise agreed:
- Payments are due within 30 days of invoice
- Late payments may incur interest charges
- We reserve the right to suspend services for non-payment
Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of our engagement. This obligation survives the termination of our relationship.
Limitation of Liability
To the maximum extent permitted by law, ViaScopi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Our total liability for any claim shall not exceed the amount paid by you for the specific services giving rise to the claim.
Disclaimer of Warranties
Our services are provided “as is” without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements.
Termination
Either party may terminate an engagement with written notice as specified in the project agreement. Upon termination:
- You must pay for all work completed to date
- We will deliver all completed deliverables
- Confidentiality obligations continue to apply
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ViaScopi operates, without regard to conflict of law principles.
Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
